Warranty Clause

A warranty clause is a promise by one party about the quality, condition, or performance of goods, services, or other contract subject matter.

How It Works in Contracts

Warranties can be express or implied. Disclaimers like 'AS IS' limit implied warranty liability. Breach entitles the other party to repair, replacement, refund, or damages.

Examples

  • Vendor warrants software functions as described for 12 months
  • Products sold 'AS IS' without implied warranties
  • Contractor warrants work free from defects for 2 years
