Governing Law

A governing law clause specifies which jurisdiction's laws will be used to interpret and enforce the contract.

How It Works in Contracts

Critical in contracts between parties in different states or countries. The chosen jurisdiction determines interpretation, remedies, and statute of limitations.

  • This agreement shall be governed by the laws of Delaware
  • Disputes resolved under the laws of England and Wales
  • The CISG is expressly excluded
